Digital Advertising Terms of Service
Any person or entity that receives a proposal from Webasist, purchases services, makes payment, or benefits from digital advertising services in any manner shall be deemed to have read, understood, and accepted these Terms, even if no separate written or signed agreement has been executed.

These Digital Advertising Terms of Service apply to all natural and legal persons ("Client") who benefit from Google Ads and other digital advertising management services provided by WebAsist Teknoloji Limited Şirketi ("Webasist").

Anyone who receives an offer from Webasist, purchases a service, makes a payment or actually benefits from the advertising services is deemed to have read, understood and accepted these terms, even if no separate written or signed agreement exists.

1. Scope of the Service

Webasist provides advertising planning, setup, management, optimisation and reporting services on search engines — primarily Google Ads — display networks, video platforms and similar digital channels.

The services are carried out in line with Webasist's know-how, experience and internal strategies. While complying with the policies of advertising platforms, Webasist does not guarantee any specific result, revenue or conversion.

2. Acceptance and Binding Effect

Even without a separate written agreement, the Client is deemed to have accepted these terms upon accepting a service offer, making a payment, the start of advertising work, or the use of ads set up or managed by Webasist. These terms are effective from the date they are published on Webasist's official website.

3. Ad Accounts, Budget and Management Authority

3.1. The advertising budget belongs to the Client. Platform ad payments (Google, Meta, etc.) are made directly to the relevant platform via the Client's own payment method; the invoice/statement for ad spend is issued to the Client by the platform. Webasist charges no commission on ad spend. Spending and results are reported to the Client transparently.

3.2. Ad accounts set up, configured or managed by Webasist are operated under Webasist's management and control for the duration of the service. The service provided is professional advertising management, not an "account handover".

3.3. The transfer of ad accounts, admin access or campaign structures to the Client is not undertaken as part of the service. However, a written transfer request from the Client is evaluated in good faith by Webasist; the scope and conditions of any transfer are agreed in writing by the parties. The absence of a transfer does not prevent the Client from opening a new ad account in their own name, receiving period performance reports, or working with any service provider of their choice.

4. Ad Content and Intellectual Property Rights

Ad copy, visuals, videos, campaign setups, targeting structures, optimisation strategies and ad account architectures created by Webasist fall within Webasist's intellectual and industrial property rights. Digital advertising is a service based on each agency's own strategy and know-how; unauthorised use, copying or reproduction of these assets is prohibited.

Brand assets, logos, product visuals and content provided by the Client remain the Client's property; Webasist uses them solely for the performance of the service.

5. Termination of the Service

Either party may terminate the service by written notice. Upon termination, the transfer of the intellectual assets listed in Article 4 and of account and campaign structures is not mandatory; transfer requests are evaluated in good faith pursuant to Article 3.3. Work performed during the service period is used for the Client's benefit only for the duration of the service; period performance reports are shared with the Client upon request.

6. Platform Policies and Limits of Liability

Policy changes, account suspensions, ad rejections or restrictions by Google Ads and other advertising platforms are beyond Webasist's control. In such cases Webasist provides good-faith support but accepts no liability for platform-imposed sanctions.

7. Right to Amend

Webasist may update these Digital Advertising Terms of Service; the current text takes effect on the date it is published on the website. Changes that materially affect ongoing service relationships are additionally notified to the Client.

8. Governing Law and Disputes

All disputes arising from these terms are governed by the laws of the Republic of Türkiye; the courts and enforcement offices of Istanbul have jurisdiction.
