Purchase Agreement
Terms governing the purchase of WebAsist services.

This agreement sets out the general terms for purchasing digital marketing, web design, software and related services provided by WebAsist Teknoloji Limited Şirketi ("WebAsist"). These terms take effect between the parties upon order/quote approval.

1. Parties

Service Provider: WebAsist Teknoloji Limited Şirketi — Maltepe Mh. Yılanlı Ayazma Sk. No: 13 Zeytinburnu / İstanbul — [email protected]
Client: The natural or legal person whose details appear on the quote form, order confirmation or contract annex.

2. Subject of the Agreement

The subject of this agreement is the provision by WebAsist of the service requested by the Client (advertising management, website design, software development, social media management, video production, etc.) whose scope, duration and fee are specified in the quote. The approved quote/order form is an integral part of this agreement.

3. Fees and Payment

3.1. The service fee is the amount stated in the approved quote; unless agreed otherwise in writing, VAT is excluded.
3.2. For advertising management services, the advertising budget is not included in the service fee; the budget is paid directly to the relevant platform (Google, Meta, etc.) via the Client's own payment method. The management and transfer of ad accounts are subject to the Digital Advertising Terms of Service.
3.3. Monthly services are invoiced at the beginning of each period; project-based services follow the payment plan in the quote.
3.4. In case of late payment, WebAsist reserves the right to suspend the service.

4. Obligations of the Parties

4.1. WebAsist provides the service with due care, in line with industry standards and the agreed scope.
4.2. The Client provides the access, content, visuals, account permissions and approvals required for performance within a reasonable time. Delays caused by the Client are added to delivery times.
4.3. The Client is responsible for the legality and intellectual property rights of the materials they provide.

5. About Advertising Performance

Digital advertising results depend on factors beyond WebAsist's control, such as market conditions, competition, budget and platform algorithms. WebAsist commits to managing campaigns with best practices; however, no specific ranking, click, sales or revenue guarantee is given.

6. Intellectual Property

6.1. Usage rights of designs, software and content produced by WebAsist under the service pass to the Client, within the scope stated in the quote, upon full payment.
6.2. WebAsist reserves the right to showcase produced works as references in its portfolio; the Client may request otherwise in writing.

7. Confidentiality and Personal Data

The parties keep commercial information learned within the business relationship confidential. The principles regarding the processing of personal data are set out in the KVKK Notice and the Privacy Policy.

8. Term and Termination

8.1. Monthly services renew in one-month periods unless terminated; either party may end the agreement with written notice at least 15 days before the end of the period.
8.2. In case of a material breach, the other party may terminate if the breach is not remedied within 7 days despite written notice.
8.3. Fees for services provided until the termination date remain payable.

9. Withdrawal and Refunds

As services are customized for the Client and performance begins upon approval, fees for periods whose performance has started are non-refundable. Refund terms for project phases not yet started may be specified separately in the quote. In distance sales made to consumers, the Client's rights arising from consumer protection legislation remain reserved.

10. Disputes

Istanbul (Çağlayan) Courts and Enforcement Offices have jurisdiction over disputes arising from this agreement; Turkish law applies.

11. Effectiveness

This agreement enters into force when the Client approves the quote, places an order or pays the service fee. WebAsist reserves the right to update this text; the current version is published on this page.
